FAQ

Questions clients often ask

My company did no business. Do I still need to file every year?

Yes. As long as the company is registered at the Office of the Company Registrar (OCR), the yearly audit, income tax return (D3) and OCR update are still due, whether it traded or not. Missed years keep adding fines.

What does a private limited company have to do every year?
  • Have its accounts for the fiscal year (Shrawan 1 to Asar end) audited by an independent registered auditor.
  • File the D3 income tax return, pay any tax due and get tax clearance.
  • Update its records at OCR (अद्यावधिक): share details, audit report and auditor appointment.

These are generally due by Poush end.

Is there a fine waiver right now?

Yes, until Poush end 2083 (14 January 2027). OCR waives earlier fines, fees and interest in full for companies that file their FY 2082/83 returns by then. On the tax side, if returns for every year up to FY 2082/83 are filed by Poush end, the company pays the base tax plus 1%, and the late-filing fees and 15% interest are waived. The same applies to VAT and excise.

Do I still pay tax under the waiver?

OCR charges no tax, and its fines are waived in full. For income tax, VAT and excise, the base tax that was due must still be paid, plus 1% of it. Only the fees and interest on top are waived.

What documents do you need from me?

Your company registration certificate, OCR (CAMIS) login, PAN, and any bank statements or bills for the missing years. We prepare the financial statements, minutes and filing letters.

I've lost my OCR login. Can you recover it?

Yes. We file the e-service access application, draft the board decision, and the director verifies their identity in person (सनाखत) at OCR or the ward office. OCR then issues a new username and password.

How long does it take to bring a company up to date?

Usually about a week per year once we have your documents and signatures. Recovering a lost OCR login adds time.

Do you carry out statutory audits?

No. Statutory audits are carried out by independent registered auditors. We prepare your accounts and the documents the auditor and OCR need.

Can a foreign investor set up a company in Nepal?

Yes, in sectors open to foreign investment under the Foreign Investment and Technology Transfer Act, 2075. Under current policy the minimum is NPR 2 crore per investor, with no minimum for IT companies. The Department of Industry approves foreign investment; the company is then registered and the investment recorded with Nepal Rastra Bank.
